Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and ShelfWise, concerning your access to and use of our inventory management platform. By accessing or using ShelfWise, you agree to be bound by these Terms.

If you do not agree to these Terms of Service, you must not access or use our platform.

Subscription Terms

ShelfWise offers subscription-based access to our inventory management platform. By subscribing to our services, you agree to the following:

• Billing Cycle: Your subscription will automatically renew based on your selected billing cycle (monthly or annual) until you cancel.
• Payment: You agree to pay all fees associated with your subscription plan. All payments are non-refundable except as expressly provided in these Terms.
• Trial Period: We may offer a free trial period. Upon expiration of your free trial, your subscription will automatically convert to a paid subscription unless canceled prior to the trial end date.
• Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have access to the platform until the end of your current billing cycle.

User Accounts

When you create an account with us, you guarantee that the information you provide is accurate, complete, and current. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Intellectual Property

ShelfWise and its content, features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, create derivative works, publicly display, publicly perform, republish, or transmit any material from our platform without our prior written consent.

User Data

We claim no ownership rights over the information that you submit to ShelfWise. You are responsible for ensuring that you have all necessary rights and permissions to upload and process any data in our system.

By using our platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your data solely for the purposes of providing and improving the ShelfWise services.

Prohibited Activities

You agree not to:

• Use the platform in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to any portion of the platform
• Use the platform to transmit any malware, virus, or other code of a destructive nature
• Interfere with the proper working of the platform

Indemnification

You agree to defend, indemnify, and hold harmless ShelfWise and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your use of the platform or your violation of these Terms.

Changes to Terms

We may revise these Terms at any time by updating this page. All changes are effective immediately upon posting, and apply to all access to and use of the platform thereafter.
